SUPERLYSAM LLC
FOREVER CONSISTENT MEMBERSHIP AGREEMENT
This Agreement (“Agreement”) is made on the same day as the purchased date from the SUPERLYSAM LLC Kajabi Portal (“Effective Date”) between Samantha Lee, Fitness/Health Coach, hereafter referred to as “Coach,” owner of SUPERLYSAM LLC, and the customer completing the purchase, hereafter referred to as “Client.”
The purpose of this Agreement is to set forth the details of the Parties’ relationship so that each are clear as to respective roles, expectations, and communication while participating in the Forever Consistent Membership. By enrolling in the Membership, Client agrees to the following terms.
PROGRAM OVERVIEW
Upon execution of this Agreement, the Coach agrees to provide services in accordance with the Forever Consistent Membership.
The scope of services rendered by the Coach pursuant to this Agreement shall be limited to those described herein and/or provided on Coach’s website www.superlysam.com as part of the Membership.
Coach reserves the right to substitute services equal to or comparable to those listed if reasonably required by prevailing circumstances.
Client agrees to be open, present, and prepared to participate in the Membership. Client is responsible for their own participation, implementation, and success.
The content included in the Membership is for Client’s individual, non-commercial use only. Client agrees not to share login details, community access, or Membership materials with any third parties.
Coach reserves the right to remove Client from the Membership at any time for violation of community standards, misuse of materials, or disruptive behavior.
MEMBERSHIP INCLUSIONS
The Forever Consistent Membership includes the following:
- Custom Workout Plan + Portioning Guide with Adjustments
• Three (3) Group Commitment Calls per Month
• Private Community Accountability Chat on Telegram
• Monthly Habit Workshops as scheduled or needed
These services are intended to support members in building sustainable health, nutrition, and fitness habits.
METHODOLOGY
Client agrees to be open-minded to Coach’s methods and to participate in services as proposed. Client understands that Coach has made no guarantees regarding specific outcomes, including weight loss, fitness improvements, or health results. Coach may revise methods, program elements, or parts of the Membership based on the needs of members or evolving program structure.
MEMBERSHIP TERM
The Forever Consistent Membership requires a minimum commitment of three (3) months upon joining. After the initial three-month commitment period, the Membership will automatically continue on a month-to-month basis unless cancelled according to the cancellation policy outlined below.
PAYMENT AND REFUND POLICY
Upon execution of this Agreement, Client agrees to pay the Membership fee as listed on the purchase page at the time of enrollment. Payments are billed monthly through the Kajabi platform or designated payment processor. Coach does not offer refunds for Membership payments once a billing cycle has begun. Credit Card Authorization (if applicable). Client authorizes Coach to charge the payment method on file for recurring Membership payments until the Membership is cancelled in accordance with this Agreement.
Failed Payments
If a payment attempt fails, the payment processor will automatically retry the charge. If payment remains unsuccessful, Client will be notified and given the opportunity to update their payment information.
If payment has not been successfully processed within seven (7) days of the original billing date, Client’s Membership will be suspended and access revoked, including but not limited to:
- Membership portal access
• Program materials
• Group commitment calls
• Telegram community access
• Any associated Membership resources
Revocation of access does not eliminate the Client’s financial obligation. Client remains responsible for paying any outstanding balance owed to SUPERLYSAM LLC. Access to the Membership may be restored once the outstanding payment has been resolved, at the discretion of the Coach. Coach reserves the right to terminate the Membership if payment remains unresolved.
MEMBERSHIP CANCELLATION
Client may cancel their Membership after completing the initial three-month commitment period. To cancel the Membership, Client must submit the official Membership Cancellation Form provided by SUPERLYSAM LLC.
A 30-day Google Form Submission (The Cancellation Form) is required for all cancellations.
This means:
- Membership remains active for 30 days after the cancellation request is submitted
• Client will continue to have access during this time
• Any billing that occurs during the notice period will still be processed
Failure to submit the official cancellation form will result in the Membership continuing to renew automatically.
COMMUNITY STANDARDS AND CONFIDENTIALITY
The Forever Consistent Membership includes access to a private community space designed to support accountability, learning, and connection among members. Client agrees to participate respectfully within all Membership spaces, including Telegram chats, group calls, workshops, and any other community environments.
Confidentiality
To maintain a safe and supportive environment, all members agree that information shared within the Membership community is strictly confidential.
Client agrees not to disclose, share, or distribute any personal information, stories, challenges, or experiences shared by other members outside of the Membership community.
This includes but is not limited to:
- Personal conversations shared in Telegram
• Information shared during group calls or workshops
• Screenshots or recordings of community discussions
• Identifying information about other members
Respecting the privacy of fellow members is a core expectation of participation.
Community Conduct
The following behaviors may result in removal from the Membership without refund:
- Harassment or disrespect toward other members
• Sharing confidential member information outside the community
• Promotion or solicitation of outside services without permission
• Disruptive or harmful behavior within community spaces
Coach reserves the right to moderate, manage, or remove any Client from the Membership community if their behavior negatively impacts the safety or integrity of the group.
PROFESSIONAL DISCLAIMER
By participating in the Membership, Client acknowledges that Coach is not a medical doctor, psychologist, or licensed healthcare provider, and the services provided do not replace the care of medical professionals. Fitness and health coaching should not be construed as psychological counseling, therapy, or medical advice. Client should consult with a physician before beginning any fitness program.
LIABILITY DISCLAIMER
Client acknowledges that participation in fitness activities may require physical exertion and may carry risk of injury. Client represents that they have no medical condition preventing participation in physical activity. Client knowingly assumes full responsibility for any risks, injuries, or damages that may occur as a result of participation in the Membership.
Client voluntarily waives any claims against SUPERLYSAM LLC or the Coach for injuries or damages sustained during participation.
THIRD-PARTY RECOMMENDATIONS
Coach may recommend third-party services such as physical therapy, medical professionals, or other wellness providers. These recommendations are suggestions only, and Coach is not responsible for the services or outcomes provided by third parties.
TESTIMONIAL DISCLAIMER
Any testimonials or examples shown through Coach’s website, programs, or services are examples of what may be possible. There can be no assurance as to any particular outcome. Client acknowledges that Coach makes no representations regarding specific results.
INTELLECTUAL PROPERTY RIGHTS
All Membership materials, documents, training content, and resources remain the intellectual property of SUPERLYSAM LLC. Client receives a single license for personal use only. Nothing in this Agreement transfers ownership of intellectual property to the Client. Coach reserves the right to remove Client from the Membership without refund if intellectual property policies are violated.
RECORDING AND MEDIA RELEASE
Client acknowledges that group coaching sessions or workshops may be recorded. These recordings may be redistributed or reused by Coach as part of educational or promotional materials. Client agrees that SUPERLYSAM LLC may use written statements, images, audio recordings, or video recordings of Client obtained during participation in the Membership. Client waives any right to payment, royalties, or approval of the finished materials.
NON-DISPARAGEMENT
The Parties agree that they will not engage in communications designed to disparage the other. Any disputes will be addressed through the dispute resolution process outlined in this Agreement.
GOOD FAITH
Each Party agrees to act in good faith during the negotiation, execution, performance, and termination of this Agreement.
DISCLAIMER OF WARRANTIES
All information, education, and coaching provided under this Agreement are provided “as-is” without warranties of any kind.
LIMITATION OF LIABILITY
Client accepts all risks arising from participation in the Membership and agrees that Coach will not be held liable for any damages resulting from participation. Use of the Membership is at Client’s own risk.
DISPUTE RESOLUTION
If a dispute cannot be resolved through good-faith negotiation, it will be submitted to the American Arbitration Association. Arbitration will take place within ninety (90) days in Saint Paul, Minnesota or via telephone. The decision of the arbitrator will be final and binding.
GOVERNING LAW
This Agreement shall be governed by the laws of the State of Minnesota.
ENTIRE AGREEMENT
This Agreement contains the entire agreement between the Parties and supersedes all prior agreements or discussions.
ACCEPTANCE
The Parties agree to the terms of this Agreement by electronically accepting the Terms and Conditions upon purchase through the SUPERLYSAM LLC Kajabi platform.
